Terms of Service

Last updated: October 28, 2026

KeptTrail is run by Daihan Hudson.

1. Agreement #

1.1 These Terms are an agreement between you and Daihan Hudson ("KeptTrail", "we", "us"). They cover kepttrail.com, the KeptTrail app and the services we provide through them (together, the "Service").

1.2 By creating an account or using the Service, including paying a contractor through it, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1.3 You must be at least 18 and able to make a binding contract. If you use the Service for a business, you confirm you're allowed to accept these Terms for that business, and "you" includes the business. The Service is offered for use in the United States. Some payment and contract features work only in the states the app lists.

1.4 If you're a contractor or service business taking payments, the Contractor Agreement below also applies to you. If these Terms and the Contractor Agreement conflict on payments, the Contractor Agreement wins.

2. The Service #

2.1 KeptTrail is software for contractors and service businesses and the people they work for. It helps you make quotes and invoices, take payments through Stripe, share a client portal, and keep a record for a home.

2.2 Automatic drafts. Some features draft a scope, quote, write-up, caption or translation for you. Drafts can be wrong or incomplete. You're responsible for checking and editing anything before you send it, sign it or rely on it. KeptTrail doesn't set your prices.

2.3 KeptTrail is a software tool. It isn't a contractor. It doesn't do or inspect any work, isn't a party to the contract between a contractor and their client, and doesn't give legal, tax, payment or appraisal advice. Area price trends or assessed (tax) values shown in the Service aren't an appraisal of any home.

2.4 We may change, add or remove features. If we remove a paid feature you rely on, we'll tell you in advance where we reasonably can.

2.5 The Service depends on outside providers, for example hosting, email delivery and Stripe. We aim to keep it running, but we don't promise it will always be available or free of errors.

2.6 Finding a pro. If you ask for quick quotes, KeptTrail shows you pros who use KeptTrail and are accepting work. KeptTrail doesn't vet, employ, recommend or guarantee any pro, and the order you see isn't a ranking of quality. Check a pro's license, insurance and references yourself before you hire them. KeptTrail doesn't take paid placement.

2.7 Bookings. Some businesses let you book a time through KeptTrail. The business sets its own prices, tips, cancellation, late-arrival and no-show rules, and shows them before you book. Any cancellation or no-show charge is the business's charge, not KeptTrail's.

2.8 Home records, sharing and transfer. A homeowner can share parts of a home record by link and choose what the link shows. Anyone with the link can see what's shared until the homeowner turns it off. When a home is sold, the homeowner can transfer the record to the new owner; work entries a pro added stay in that pro's own records too. Stickers and QR codes on equipment show that item's history, not the owner's personal details.

2.9 Calendar links and exports. If you turn on a private calendar link, anyone you give the link to can see the events on it. Keep it private, and reset it if it leaks. Exports (for example to accounting software) are copies; KeptTrail isn't responsible for what happens to them after you download them.

3. Accounts and roles #

3.1 Roles. An account can have one or more of these roles:

3.2 Your login. Give accurate details and keep them up to date. Keep your login secure and don't share it. If you think someone else has used your account, tell us right away at [email protected]. You're responsible for what happens under your account.

3.3 Team members. If you let others use your business account, you're responsible for what they do in it.

3.4 Invited people. If you invite a client, tenant or anyone else, you confirm you have the right to give us their contact details and to invite them.

4. Plans, fees and founding prices #

4.1 Founding price lock #

If your account is a Founding Basic or Founding Pro account under our founding offer, the founding subscription price for that plan stays locked for the life of your paid account. Switching between monthly and yearly billing on the same founding plan keeps the lock. While the lock holds, we won't change your founding price, so the price-change emails in section 4.4 don't apply to it. If you choose to move to a plan that isn't covered by the lock, that plan's price and section 4.4 apply.

Founding prices (locked): Founding Basic $10 a month (or the yearly founding Basic price stated at signup); Founding Pro $39 a month (or the yearly founding Pro price stated at signup). Normal (non-founding) prices: Basic $20 a month; Pro $49 a month (or the yearly prices stated at signup).

That lock doesn't cover taxes, add-ons, payment fees (Stripe's processing fees and the KeptTrail fee on client payments), or prices for new plans or products we introduce later.

Founding seats and the offer end date are as stated in the offer at signup.

4.2 Plan prices #

Current prices are on our Plans page and at checkout. The price shown at checkout is the price you pay.

4.3 KeptTrail fee on client payments #

When a client pays a contractor through KeptTrail, the first payment on each job includes the KeptTrail fee: 1% of the contractor's price for the job, at least $1 and at most $10, charged once per job. It's the same for card and bank. Stripe charges its own processing fees to the contractor's Stripe account. For full details, see Paying a contractor and sections C4 and C5 of the Contractor Agreement.

4.4 Renewal, cancelling and refunds #

Paid plans renew automatically at the end of each monthly or yearly period, at the price shown at checkout, until you cancel. Before you sign up, we show you these renewal terms and ask you to agree to them, and we then email you a confirmation with the renewal terms and how to cancel. You can cancel anytime online with the Cancel button in the app, or by emailing [email protected]. Your plan stays active until the end of the period you've already paid for.

Refunds. Monthly plans aren't refunded for part of a month. If we automatically renew a yearly plan, you can ask for a full refund within 14 days after the renewal charge, with the Cancel button or by emailing [email protected]. We refund the full renewal charge to the original payment method, and your plan ends the day it's refunded. If you change your mind after first paying for a yearly plan, you can also ask for a full refund within 14 days after that first payment, the same way. Apart from that, yearly plans aren't refunded for part of a year.

Reminders and price changes. For yearly plans, we'll email you before each renewal, and at least once a year we'll remind you of your plan, its price and how to cancel. Founding prices don't change while the lock in section 4.1 holds. For any other plan, if we change the price, we'll email you at least 7 days before the change takes effect, with the new price and how to cancel. The new price starts at your first renewal after that email, and you can cancel before then to avoid paying it.

Paid plans aren't being billed yet. We'll update this section before billing starts.

4.5 Free trials and checkout #

If a plan has a free trial, checkout and the Plans page show how long it lasts, whether a card is needed, the date of your first charge and the price after the trial. If you start a plan without a trial, checkout shows that the charge is due now, that the plan renews until you cancel, and, for founding plans, that the founding price is locked as described in section 4.1.

4.6 Taxes #

Prices don't include taxes unless checkout says so.

5. Client payments #

5.1 Who you're paying. When a client pays a contractor through KeptTrail (a deposit, an invoice or a booking), the contractor is the seller and the merchant of record, and the money goes to the contractor's own Stripe account. KeptTrail provides the software and isn't a party to the contractor's contract with the client. Paying a contractor below has the details for clients, and the Contractor Agreement has the details for contractors.

5.1a Paying for a KeptTrail plan. When you pay for a KeptTrail plan, you're paying KeptTrail, and KeptTrail is the seller. Those charges show as KEPTTRAIL on your statement.

5.1b Card and bank prices. For client payments, the price shown for paying by card includes the cost of card processing. Paying by bank costs less. Both prices are shown before you pay, and the card price is shown at least as clearly as the bank price. The card price is the same for credit, debit and prepaid cards.

5.1c Deposits. Where state law limits how much a contractor can collect before work starts, KeptTrail's payment screens apply that limit to the total the client pays, including KeptTrail's fee and the card processing cost. For example, in California a home improvement down payment can't be more than 10% of the contract price or $1,000, whichever is less, and many service jobs of $750 or less can't take money up front. The limits in the app are a tool and don't replace the contractor's own duty to follow the law.

5.2 Notices. Notices about a payment dispute come from Stripe and appear in your Stripe dashboard. KeptTrail emails you itself only before charging your plan card for an amount you owe under section C7 of the Contractor Agreement. We'll send an invoice first and give at least 10 days' written notice before any charge.

6. Acceptable use #

You agree not to:

6A. Reviews and public profiles #

If you have a public profile, you're responsible for keeping it accurate, including your license and insurance details. If you ask clients for reviews, ask every client the same way and don't offer anything in return for a positive review. If reviews appear on KeptTrail, we may remove ones that break these Terms, but we don't remove honest negative reviews just because they're negative.

7. Your content #

7.1 "Your content" means what you add to the Service: photos, voice notes, job notes, quotes, invoices, messages and home records. You keep ownership of your content.

7.2 You give KeptTrail a limited license to host, copy, process, transmit and display your content only to run and secure the Service for you and the people you share it with, and as our Privacy Policy describes. We may also use counts and statistics that don't identify you or your content to understand how the Service is used. This license ends when your content is deleted, except for copies we must keep by law or that stay in backups for a short time.

7.3 We don't sell your content and don't use it for advertising. We don't show your content publicly unless you choose to share it, for example a before-and-after you publish.

7.4 You're responsible for your content, and you confirm you have the rights and consents needed to add it.

7.5 We may remove content or limit access to it if we reasonably believe it breaks these Terms or the law.

8. Recording and consent #

8.1 Record only your own voice. Many states, including California, make it unlawful to record a private conversation without everyone's consent. If you record a voice note in KeptTrail, including with feedback, don't record anyone else, and if someone else's voice is picked up, delete it before you send or save it.

8.2 Keep people out of photos when you can. If someone's in the shot, ask first or retake it. Never photograph children on purpose.

8.3 Automatic drafts. Some features, like message translation, draft text for you automatically. The text can be wrong. Check it before you rely on it (see sections 2.2 and 9).

8.4 You're responsible for getting any consent your recordings and photos need.

9. Translations and drafts #

Message translations and other automatic drafts are there to help. They can contain mistakes, and they're labeled. The original message is always available. Don't rely on a translation for anything important, like a price, a date or a contract term, without checking the original.

10. Outside services #

The Service uses outside providers. Payments are processed by Stripe under Stripe's own terms. If you sign in with or connect another service, for example a calendar or accounting app, that service's terms also apply. Links you create, such as a home-record share link or a private calendar link, work for anyone who has them until you turn them off. We aren't responsible for outside services, but we choose providers with care.

11. KeptTrail's property and feedback #

KeptTrail, the KeptTrail name and logo, and the Service (apart from your content) belong to us. These Terms don't give you any right to them other than to use the Service. If you send us ideas or feedback, we may use them without paying you or owing you anything.

If you think content on KeptTrail infringes your copyright, email [email protected] with the work, where it appears, and how to reach you. We'll review it and may remove it.

12. Privacy #

Our Privacy Policy explains what we collect and how we use it. By using the Service, you understand your information will be handled as it describes.

13. Suspension and closing your account #

13.1 You can stop using the Service anytime. Contractors can delete their account in Settings; homeowners can delete their login in Settings. You can also email [email protected]. Cancelling a plan works as described in section 4.4.

13.2 We may suspend or close your account, or limit payment features, if you break these Terms, if the law requires it, or to prevent fraud, harm or legal risk. Where it's reasonable and allowed, we'll tell you first and give you a chance to fix the problem.

13.3 Your data when you leave. Before you go, you can download a copy of your data (Settings → Download my data). When a contractor deletes their account, there's a short grace period in which you can change your mind; after it, the account is closed and your content is removed from the active Service, except records we must keep by law (for example payment and tax records) and copies in backups for a short time. Homeowners keep the home records they received from a contractor even after the contractor leaves. Sections that by their nature should continue (including 7.4, 11, 14 to 18, and sections C6, C7 and C9 of the Contractor Agreement) continue after your account ends.

14. Disclaimers #

To the extent the law allows, the Service is provided "as is" and "as available". We don't promise it will be uninterrupted or free of errors, or that drafts, translations, price trends or other information will be accurate or complete. We don't promise any result from a contractor's work, and we aren't responsible for work done, money paid or disputes between contractors and their clients. Some places don't allow these disclaimers, so some may not apply to you.

15. Limit of liability #

To the extent the law allows:

(a) KeptTrail isn't liable for indirect, special, incidental, consequential or punitive damages, or for lost profits, revenue or data; and

(b) KeptTrail's total liability for all claims about the Service is limited to the greater of what you paid KeptTrail in the 12 months before the claim, or $100.

These limits don't apply to liability that can't be limited by law, such as liability for fraud, gross negligence or willful misconduct (Cal. Civ. Code 1668).

16. Your responsibility for claims (indemnity) #

If you use the Service for a business, you'll defend and repay KeptTrail for claims, fines, fees and losses arising from your work, your content, your contracts with clients, or your breach of these Terms or the law. Contractors: section C9 of the Contractor Agreement also applies.

17. Governing law and disputes #

These Terms are governed by California law, without regard to conflict-of-law rules. Before filing a claim, please email [email protected] so we can try to sort it out within 30 days. Any court case will be brought in the Superior Court of California, County of Humboldt (in Eureka), or, if a federal court has jurisdiction, the United States District Court for the Northern District of California, unless the law where you live gives you the right to sue there. Either of us may bring a qualifying claim in small claims court. Nothing in these Terms limits rights you have under consumer protection law that can't be waived, including the cooling-off cancellation rights described in Paying a contractor.

California users. The Service is provided by Daihan Hudson, 3300 Broadway St, Ste 502 #2068, Eureka, CA 95501, [email protected]. Charges for the Service are described in section 4 and on our Plans page. If you have a complaint, email us first. You can also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.

18. General #

18A. Electronic records #

You agree we can give you notices, receipts and other communications by email or in the app, and that these meet any legal requirement for them to be in writing. When you sign a quote or contract in KeptTrail, your electronic signature is as binding as a signature on paper. You can download or print anything you sign. Contractors: if the law requires you to give your client a paper copy or specific notice (for example a California home improvement contract or cancellation notice), it's your job to make sure they get it in a form the law accepts.

19. Changes to these Terms #

We may update these Terms from time to time. We'll post the new version with a new "Last updated" date, and for important changes we'll email your account email before they take effect. Changes won't take away a founding account's locked prices under section 4.1 (Founding Basic $10 / Founding Pro $39, versus normal Basic $20 / Pro $49, or the yearly founding prices stated at signup). That lock doesn't cover taxes, add-ons, payment fees (Stripe's processing fees and the KeptTrail fee on client payments), or prices for new plans or products we introduce later.

20. Contact #

Paying a contractor (homeowners and clients) #

Who you're paying. When you pay a deposit or invoice through KeptTrail, you're paying the contractor named on it. The contractor is the seller and the merchant of record. Your payment goes to the contractor's own Stripe account, and the contractor's business name shows on your card or bank statement.

KeptTrail's role. KeptTrail provides the quote, contract, invoice and payment software. KeptTrail isn't a party to your contract with the contractor, doesn't do the work, and doesn't hold your money. Stripe processes the payment.

KeptTrail's fee (in the first price). The first price you see already includes KeptTrail's fee and the cost of card processing. KeptTrail's fee is 1% of the contractor's price for the job, at least $1 and at most $10. It's charged once per job, inside the first payment you make through KeptTrail, and it's the same whether you pay by card or by bank. Paying by bank costs less because bank processing costs less.

Every card price you see includes the cost of card processing, and the bank price is lower. Both are shown before you pay. You pay the price for the method you choose.

How you can pay. You can pay by card, including a card saved in Link, or by bank account (ACH).

Refunds and chargebacks. Refunds, cancellations and payment disputes are handled by your contractor. If your contractor refunds you through KeptTrail, you get back the full amount you paid, to the same card or bank account. For a refund or a question about the work, contact your contractor. If you can't reach them, email [email protected] and we'll pass it on. Nothing here limits your right to cancel under the law. For example, for many home improvement contracts in California you can cancel within 3 business days, or 5 business days if you are 65 or older, after you receive a signed and dated copy of your contract and the cancellation notice, where state or federal cooling-off law gives you that right.

Stripe. Payments are processed by Stripe. When you pay by bank, you authorize the debit through Stripe's bank-payment form. Stripe's privacy policy (stripe.com/privacy) explains how Stripe handles your payment details. KeptTrail never sees your full card or bank number.

Contractor Agreement #

This Contractor Agreement applies to contractors and service businesses that take payments through KeptTrail. It's part of these Terms.

C1. Merchant of record. You are the seller and merchant of record for every quote, deposit and invoice you bill through KeptTrail. Payments are made directly to your own Stripe account, and your business name appears on your client's statement. KeptTrail provides software. It isn't a party to your contract with your client and isn't responsible for the work.

C2. Your Stripe account and Stripe's terms. To take payments, you open or connect a Stripe account through KeptTrail and accept the Stripe Connected Account Agreement (stripe.com/connect-account/legal/full), which includes the Stripe Services Agreement. Your agreement with Stripe is between you and Stripe. You agree Stripe may share information about your account and payments with KeptTrail, and KeptTrail may share with Stripe what's needed to run your payments.

C3. Your responsibilities. You're responsible for:

KeptTrail's templates, limits and warnings are tools to help you, not a promise that your contract is compliant.

C4. Stripe's fees. Stripe charges its card and bank fees, and any dispute fees, to your Stripe account, not to KeptTrail. Stripe sets those fees.

C5. KeptTrail's fee and refunds. KeptTrail's fee is 1% of your price for the job, at least $1 and at most $10, charged once per job inside the first payment your client makes through KeptTrail. Stripe collects it for KeptTrail from that payment. Your client gets back the full amount they paid on any refund, and the refund comes out of your Stripe balance. Stripe doesn't return its fee on refunds. KeptTrail keeps its fee on refunded payments unless the refund was caused by a KeptTrail error or your client cancels under a legal cooling-off right: within 3 business days, or 5 business days if your client is 65 or older, after they receive a signed and dated copy of the contract and the cancellation notice (California), or within any other cooling-off period that state or federal law gives them. In either case, KeptTrail returns its fee on that payment to your Stripe account.

KeptTrail keeps its fee on a disputed payment, whatever the outcome of the dispute. KeptTrail still returns its fee on a refund caused by a KeptTrail error or a legal cooling-off cancellation, as the refunds clause says.

C6. Losses and what you owe Stripe. If your Stripe balance goes negative, from refunds, disputes or anything else, Stripe will try to collect it from your future payments and your bank account, as your Stripe agreement allows. You owe that amount to Stripe directly. KeptTrail doesn't cover it. Stripe may also contact you directly, hold funds, or limit your account under its own rules. KeptTrail can't pause or release your payouts.

C7. Amounts you owe KeptTrail. KeptTrail doesn't pay Stripe fees, refunds, disputes or losses on your payments. If KeptTrail is ever charged or loses an amount because of your payments or a breach of these terms, you'll repay it within 15 days of our invoice. We may charge it to the payment method on file for your KeptTrail plan after at least 10 days' written notice.

C8. No payment, tax or legal advice. KeptTrail doesn't give payment, tax or legal advice. Fee examples, deposit limits and contract templates are general information. Check with your own advisor.

C9. Indemnity. You'll defend and repay us (see section 1.1), and the people and service providers who work for us, for any claim, fine, fee or loss arising from your work, your contracts with clients, your prices and fees, your refunds or disputes, or your breach of law (including license, deposit and payment laws) or of these terms.

C10. Data sharing. To run your payments, KeptTrail shares your account, job and invoice details, and your client's name, email and payment amounts, with Stripe. Stripe shares account, payment and risk information with KeptTrail (Connected Account Agreement §4.1). You're responsible for telling your clients how you use their information, and KeptTrail's privacy policy explains what KeptTrail does with it.

C11. Ending this agreement. You or KeptTrail can end this agreement at any time with notice. KeptTrail may suspend payment features right away for fraud, legal risk or a breach. When it ends, KeptTrail disconnects from your Stripe account. Your Stripe account and its balance stay yours, under your agreement with Stripe. Your duties for refunds, disputes, taxes and amounts owed, plus C6, C7 and C9, continue after it ends.

Questions about this agreement? Email [email protected].
